EU receives notification of proposed Saica / Emin Leydier takeover

Saica to acquire control of the whole of Emin Leydier

On 20 December 2017, the Commission of the European Union received notification of the proposed acquisition of French corrugated packaging and containerboard producer Emin Leydier by Spain's SA Industrias Celulosa Aragonesa (Saica). According to the notification, Saica is to acquire control of the whole of Emin Leydier by way of purchase of shares.

In a statement in the Official Journal of the Europan Union the Commission said that on preliminary examination it found that the notified transaction could fall within the scope of the Merger Regulation. A final decision on this point was reserved, the Commission said. It noted that the case is a candidate for simplified procedure.

Emin-Leydier is controlled by First Eagle Funds, through Financière Rouge LLC and Financière Bleu LLC, and belonging to the group Emin Leydier. The company is producing recycled corrugated case material and corrugated packaging, operating mainly in France, but also throughout the EEA.

Saica is owned by Aragocias, a Spanish holding company, and operates in Spain, France, Italy, Portugal, the United Kingdom, Ireland, Turkey, Luxemburg and the Netherlands. Its businesses comprise the collection and supply of recovered paper, manufacturing of corrugated case material and recycled corrugated packaging.
